1. Acceptance of Terms

By accessing or using the GroFuze platform ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Platform.

GroFuze is a technology platform provider that facilitates transactions between customers and merchants. We do not sell, manufacture, or own any products or services listed on our platform. All products, services, and transactions are the sole responsibility of the respective merchants.

2. Platform Description

GroFuze provides a technology platform that enables:

• Merchants to list and sell their products and services
• Customers to browse, search, and purchase products and services from merchants
• Order processing, payment facilitation, and delivery coordination
• Communication tools between customers and merchants

GroFuze acts solely as an intermediary and is not a party to any transaction between customers and merchants.

3. User Accounts

3.1 Account Creation

To use certain features of our Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Use of the Platform

4.1 Permitted Use

You may use our Platform to:

• Browse and search for products and services
• Place orders with merchants
• Communicate with merchants regarding orders
• Access your account and order history

4.2 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorized access to the Platform
• Interfere with or disrupt the Platform's operation
• Use automated systems to access the Platform without permission
• Impersonate any person or entity
• Collect user information without consent
• Engage in fraudulent or deceptive practices

5. Orders and Transactions

5.1 Order Placement

When you place an order through our Platform, you are entering into a contract directly with the merchant. GroFuze is not a party to this contract and is not responsible for:

• Product quality, safety, or accuracy of merchant listings
• Merchant's fulfillment of orders
• Delivery times or delivery issues
• Product returns, refunds, or exchanges (subject to merchant policies)

5.2 Pricing and Payment

All prices are set by merchants and displayed in the currency specified. You agree to pay the total amount shown at checkout, including applicable taxes and fees. Payment processing is handled by third-party payment providers.

5.3 Order Cancellation

Order cancellation policies are determined by individual merchants. GroFuze facilitates cancellation requests but is not responsible for merchant decisions regarding cancellations or refunds.

6. Merchant Responsibilities

Merchants using our Platform are independent entities and are responsible for:

• Accurate product descriptions and pricing
• Product quality and safety compliance
• Order fulfillment and delivery
• Customer service and support
• Returns, refunds, and warranty policies
• Compliance with applicable laws and regulations
• Tax collection and remittance

7. Intellectual Property

The Platform, including its design, features, functionality, and content, is owned by GroFuze and protected by intellectual property laws. You may not:

• Copy, modify, or distribute Platform content without permission
• Use our trademarks, logos, or brand elements without authorization
• Reverse engineer or attempt to extract source code
• Create derivative works based on the Platform

Merchants retain ownership of their product listings, images, and content. By listing on our Platform, merchants grant GroFuze a license to display and use such content for Platform operations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROFUZE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Product defects, quality issues, or safety concerns
• Merchant actions, omissions, or failures
• Delivery delays, damages, or losses
• Disputes between customers and merchants

GroFuze's total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to GroFuze in the 12 months preceding the claim, or ₹1,000, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless GroFuze, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

10. Dispute Resolution

10.1 Customer-Merchant Disputes

Disputes regarding products, services, orders, or transactions are between customers and merchants. GroFuze may facilitate communication but is not responsible for resolving such disputes. Customers should contact merchants directly for order-related issues.

10.2 Platform Disputes

Any disputes arising from your use of the Platform or these Terms shall be resolved through binding arbitration in accordance with applicable laws, unless otherwise required by law.

11. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Platform or other users
• Non-payment of fees (for merchants)
• Any other reason we deem necessary to protect the Platform

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will cease immediately, but provisions that by their nature should survive will remain in effect.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of India.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
